1. Acceptance of Terms

By accessing or using the KronIQ platform ("Service"), available at www.kroniq.app, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Data Entropy Corporation ("Company," "we," "us," or "our").

By creating an account, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

2. Description of Service

KronIQ is a software-as-a-service (SaaS) payroll platform designed for businesses and CPA firms. The Service provides tools for payroll processing, tax calculations, employee and contractor management, tax form generation (W-2, 1099-NEC, 941, 940), direct deposit facilitation, document storage, and compliance tracking.

The Service is provided on a subscription basis and is subject to periodic updates, modifications, or feature changes at our discretion. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

To use the Service, you must create an account and provide accurate, complete, and current information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful and accurate information during registration
  • Keep your login credentials secure and not share them with unauthorized parties
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity conducted through your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service to violate any applicable federal, state, or local law or regulation
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
  • Upload or transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to process payroll or tax filings with intentionally false or fraudulent information
  • Resell, sublicense, or redistribute access to the Service without our express written consent

5. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, code, design, text, graphics, logos, trademarks, and all related documentation, are and shall remain the exclusive property of Data Entropy Corporation. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.

The KronIQ name, logo, and all related product names, design marks, and slogans are trademarks of Data Entropy Corporation. You may not use these marks without our prior written permission.

You retain ownership of any data you upload to or create within the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

6. Payment Terms

The Service is offered on a subscription basis. By subscribing, you agree to pay all applicable fees as described on our pricing page at the time of purchase. Subscription fees are billed on a recurring monthly basis unless otherwise stated.

All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by applicable law. We reserve the right to change our pricing with at least 30 days' written notice to you. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails or your account becomes past due, we may suspend access to the Service until all outstanding amounts are resolved. You are responsible for any taxes applicable to your use of the Service, excluding taxes on our net income.

7. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

Given the nature of payroll processing, the Service handles sensitive personal information including Social Security numbers, bank account details, and tax identification numbers. We employ industry-standard encryption and security measures to protect this data. However, you are responsible for ensuring that any data you submit to the Service is collected and shared in compliance with applicable privacy and data protection laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Data Entropy Corporation and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability.

In no event shall our total cumulative liability to you for all claims arising out of or related to the Service exceed the total amount of fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

You acknowledge that payroll processing involves complex tax regulations that vary by jurisdiction and change over time. While we strive for accuracy, you are ultimately responsible for verifying the correctness of payroll calculations, tax filings, and regulatory compliance for your business.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DATA ENTROPY CORPORATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any tax calculations, form generation, or compliance information provided through the Service. The Service does not constitute legal, tax, or accounting advice.

10. Termination

You may terminate your account at any time by contacting us at support@dataentropy.io or through the account settings in the Service. Termination will take effect at the end of your current billing period.

We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to a breach of these Terms. In the event of termination for cause, no refund of prepaid fees will be provided.

Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period (not to exceed 90 days) to allow you to export your information, after which it may be permanently deleted. Certain provisions of these Terms, including Intellectual Property, Limitation of Liability, Disclaimer of Warranties, and Governing Law, shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Effective Date" at the top of this page and, where appropriate, by providing additional notice through the Service or via email.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and terminate your account.
